1. The name of the Company is “PROMOTION OF STRAITS FOUNDATION LIMITED  两岸交流发展基金会有限公司” (hereinafter referred to as the “Company”).
    公司名为“两岸交流发展基金会有限公司”（以下简称“公司”）

2. The registered office of the Company will be situated in Hong Kong.
    公司的注册办事处位于香港。

3. The objects for which the Company is established are:-
    公司建立的成立目的是：

　　(a)To set up and operate “PROMOTION OF STRAITS FOUNDATION LIMITED
　　两岸交流发展基金会有限公司”.成立并运作两岸交流发展基金会有限公司。

　　(b)To organize educational programs, courses or lectures.
　　组织教育课程、学习班或讲座。

　　(c)To promote exchange of technology and to organize activities of popular science. 
　　促进科技交流及举办科学普及活动。

　　(d)To encourage mutual assistance and interaction among the members of the Company.
　　鼓励公司成员间的互助及互动。

　　(e)To advance and promote mental and physical recreation and welfare of and among the members of the Company.
　　提高并促进公司成员的身心康乐及福利。

　　(f)To establish and maintain amusement resorts provided with musical instruments, newspapers, magazines and requisites for various kinds of sport and entertainment to stimulate interest and to improve or maintain the health of the members.
　　建立并维护娱乐度假胜地，该胜地提供各种运动和娱乐活动的乐器、报纸、杂志和必需品，以激发兴趣并改善和维护成员健康。

　　(g)To publish and circulate newspapers and magazines.
　　发布并传阅报章和杂志。

　　(h)To purchase, sell, lease, mortgage, improve, manage, construct, reconstruct, develop or otherwise dispose of or deal in land, houses or other properties, whether leaseholds or otherwise and whether movables or immovables.
　　购置、销售、租赁、抵押、改建、管理、建造、重建、开发，或以其它方式处理土地、住宅或其它用途财产，不管是否可租赁的还是动产或不动产。

　　(i)To accept subscriptions devises bequests donations and contributions for the purpose of carrying out the objects of the Company.
　　接受为达成公司目标的资金遗赠捐赠及捐助。

　　(j)To borrow any money required for the purpose of the Company with or without security.
　　在有或无抵押金的情况下为公司目的而作出借贷。

　　(k)To raise funds by giving concerts, staging plays and operas and by any other means and to apply the same for the attainment of the objects of the Company.
　　通过举办演唱会、举办戏剧和歌剧或其它方式而进行集资，并且将其用于达到公司的成立目的。

　　(l)To hire and employ all classes of persons considered necessary for the purposes of the Company and to remunerate them in return for their services rendered to the Company whether in forms of salaries, wages, allowances pensions or otherwise.
　　为了完成公司目标而雇用所需的各种人才，公司会支付他们为公司所提供的服务，将以月工资、奖金、补贴养老金或其它形式进行发放。

　　(m)To do all such other lawful things as are incidental or conducive to the attainment and furtherance of the above objects or any of them.
　　实施其它所有合法事宜，如偶发于或有益于达成或促成以上目标或以上目标中的任何事件或行为。

4.The liability of the members is limited.
    成员的责任是有限的。

5.Every member of the Company undertakes to contribute to the assets of the Company in the event of its being wound up while he is a member, or within one year afterwards for payment of the debts and liabilities of the Company contracted before he ceases to be a member, and of the costs charges and expenses of winding up and for the adjustment of the rights of the contributories amongst themselves, such amount as may be required not exceeding ten dollars.
　　当公司每位成员还是成员的期间公司进行清盘，或者他不再是成员前的一年之内公司需支付债务和债权，公司每位成员承诺向公司贡献资金，支付成本、费用及清算费用，其中包括贡献者间权利的调整；唯这些金额不应超过十元。

6.True accounts shall be kept of the sums of money received and expended by the Company and the matter in respect of which such receipt and expenditure takes place and of the property, credits and liabilities of the Company and subject to any reasonable restrictions as to the time and manner of inspecting the same which may be imposed in accordance with the regulations of the Company for the time being, shall be open to the inspection of the members. Once at least in every year, the accounts of the Company shall be examined and the correctness of the Balance sheet ascertained by one or more properly qualified Auditor or Auditors. 
　　真实账目应体现公司账目的收支数目，发生的收支项目、公司财产、信用及债务，并根据检查时间和方式的任何合理限制，根据公司暂时规定而被施加的真实账目检查应对成员开放。至少每年审计一次公司的账目，由一位或多位有资质的审计师或一般审计师审核资产负债表正确与否。
